Conditions of participation for events

1 Validity of the Conditions of Participation

WPS - Workplace Solutions GmbH, Hans-Henny-Jahnn-Weg 29, 22085 Hamburg (hereinafter referred to as "WPS GmbH") organises events/online events/events exclusively on the basis of these conditions of participation. Although the masculine form has been chosen in the text for reasons of readability, the information refers to members of all genders.

2 Registration, confirmation of registration

Registrations should be made in writing or in text form. By registering, the participant makes a binding offer to take part in an event. Confirmation of receipt of the registration will follow promptly and does not constitute a binding commitment. A binding commitment only comes into effect through the express confirmation on the part of WPS GmbH. In the event of a limited number of participants, registrations will be considered in the order in which they are received. 3.

3. content and scope of the event

The content, scope and nature of the event are set out in the invitation to tender. In the invitation to tender, the content of the event, the time frame and, if applicable, a binding price for participation in the event will be stated. Insofar as speakers are named, WPS GmbH is at liberty to appoint a substitute speaker who is qualified in the same way.
Events of the WPS GmbH are usually free of charge or charge a contribution towards expenses. 4 Liability

WPS GmbH will only pay compensation for damages or reimbursement of futile expenses, irrespective of the legal grounds (e.g. from contractual and quasi-contractual obligations, material and legal defects, breach of duty and unlawful acts), to the following extent: Liability for intent and guarantee is unlimited. In the case of gross negligence, WPS GmbH is liable to the amount of the typical damage foreseeable at the time of conclusion of the contract. In the case of simple negligent violation of a cardinal obligation the WPS GmbH is liable to the amount of the typical damage foreseeable at the time of conclusion of the contract, however, to a maximum of 20,000.00 € per case of damage and 100,000.00 € for all cases of damage from and in connection with the contract as a whole. The objection of contributory negligence remains open to WPS GmbH. In the event of injury to life, body and health as well as claims arising from the Product Liability Act, the statutory regulations shall apply without restrictions.
The contents of the event result from the presentations and contributions. These are generally based on the personal experiences and opinions of the speakers. WPS GmbH accepts no liability for the accuracy and completeness of the information and content. Should an announced, free event be postponed or cancelled, the participant shall not be entitled to any claims for compensation - irrespective of the legal grounds. Any cost contribution paid will be refunded by WPS GmbH without delay. 5.

5 Confidentiality, photo/video recordings, data protection

5.1 The WPS GmbH and the participant commit themselves to treat all circumstances/objects (e.g. software, documentation, documents, information), which are legally protected or contain business or trade secrets or are designated as confidential, which are conveyed to them or become known to them by the respective other before or during the realisation of the event, confidentially also beyond the end of the event, unless they are publicly known without a breach of the obligation to secrecy.
5.2 WPS GmbH has copyrights/exclusive rights of use to the content announced at the event such as presentations, use cases etc.. The live stream within the scope of an online event is also protected by copyright, and there are also personal rights of the speaker(s). Recording or storage on the part of the participant is therefore not permitted. Participants are granted a simple, non-exclusive and non-transferable right of use for the purposes of the event. Without the prior, express declaration of WPS GmbH in text form, neither a duplication of the contents or documents or parts thereof is permitted. In particular, the contents and documents may not be published or distributed; in particular, distribution via public networks or social media is prohibited. 5.3.
5.3 Recordings during the event, regardless of whether sound, photo or video by participants are only permitted with the prior consent of WPS GmbH in text form. Otherwise, WPS GmbH has an unconditional right to the deletion of recordings.
5.4 During the event, WPS GmbH can take photos or videos on which participants can also be seen; WPS GmbH can also use these for advertising purposes. If a participant does not agree to his or her person being recorded, the participant must immediately declare his or her objection to the WPS GmbH or speakers and ensure himself or herself that the participant is not depicted.
5.5 The WPS GmbH informs its participants at irregular intervals about offers of the WPS GmbH, in particular about events and related offers, also by email. The participant hereby declares his/her consent. This consent can be revoked informally at any time.
5.6 The WPS GmbH processes the participant's data required for the business transaction in compliance with the data protection regulations; reference is made to the general data protection declaration of the WPS GmbH (https://www.wps.de/datenschutz/).

6 Place of performance, place of jurisdiction, formal requirements

6.1 Unless otherwise agreed, the place of performance and fulfilment and the place of the realisation of events is the registered office of WPS GmbH.
6.2 The law of the Federal Republic of Germany applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from and in connection with the underlying contractual relationship is the registered office of WPS GmbH in Hamburg.
