Conditions of participation for events and functions

1 Validity of the conditions of participation

WPS - Workplace Solutions GmbH, Hans-Henny-Jahnn-Weg 29, 22085 Hamburg (hereinafter referred to as "WPS GmbH") organises events/online events/events exclusively on the basis of these conditions of participation. Although the masculine form has been chosen in the text for reasons of readability, the information refers to members of all genders.

2 Registration, confirmation of registration

Registrations should be made in writing or in text form. By registering, the participant makes a binding offer to take part in an event. Confirmation of receipt of the registration follows promptly and does not constitute a binding commitment. A binding offer only becomes effective upon express confirmation by WPS GmbH. If the number of participants is limited, registrations will be considered in the order in which they are received.

3 Content and scope of the event

The content, scope and nature of the event are set out in the invitation to tender. In the invitation to tender, the content of the event, time frame and, if applicable, a binding price for participation in the event are stated in keywords. Insofar as speakers are named, WPS GmbH reserves the right to appoint a similarly qualified substitute speaker.
Events organised by WPS GmbH are generally free of charge or charge a contribution towards expenses. 4 Liability

WPS GmbH shall only pay compensation for damages or reimbursement of futile expenses, regardless of the legal grounds (e.g. from legal and similar obligations, material defects and defects of title, breach of duty and unauthorised action), to the following extent: Liability for intent and under guarantee is unlimited. In the event of gross negligence, WPS GmbH shall be liable to the amount of the typical damage foreseeable at the time the contract was concluded. In the event of simple negligent breach of a cardinal obligation, WPS GmbH shall be liable in the amount of the typical damage foreseeable at the time of conclusion of the contract, but not exceeding €20,000.00 per claim and €100,000.00 for all claims arising from and in connection with the contract as a whole. WPS GmbH reserves the right to raise the defence of contributory negligence. In the event of injury to life, limb and health and in the event of claims under the Product Liability Act, the statutory provisions shall apply without restriction.
The content of the event results from the presentations and contributions. These are generally based on the personal experiences and opinions of the speakers. WPS GmbH accepts no liability for the accuracy and completeness of the information and content. Should an announced, free event be postponed or cancelled, the participant is not entitled to any claims for compensation - regardless of the legal grounds. WPS GmbH will reimburse any contribution to costs paid without delay.

5 Confidentiality, photo/video recordings, data protection

5.1 WPS GmbH and the participant undertake to treat confidentially all circumstances/objects (e.g. software, documentation, documents, information) that are legally protected or contain business or trade secrets or are designated as confidential, which are transmitted or become known to them by the other party before or during the realisation of the event, even after the end of the event, unless they are publicly known without breach of the confidentiality obligation.
5.2 WPS GmbH has copyrights/exclusive rights of use to the content announced at the event, such as presentations, use cases, etc. The live stream as part of an online event is also protected by copyright, as are the personal rights of the speaker(s). Recording or storage by the participant is therefore not permitted. Participants are granted a simple, non-exclusive and non-transferable right of use for the purposes of the event. No reproduction of the content or documents or parts thereof is permitted without the prior, express declaration of WPS GmbH in text form. In particular, the content and documents may not be published or distributed; in particular, distribution via public networks or social media is prohibited.
5.3 Recordings during the event, regardless of whether sound, photo or video by participants, are only permitted with the prior consent of WPS GmbH in text form. Otherwise, WPS GmbH has an unconditional right to the deletion of recordings.
5.4 During the event, WPS GmbH may make photo or video recordings on which participants can also be seen; WPS GmbH may also use these for advertising purposes. If a participant does not consent to his/her person being recorded, the participant must declare his/her objection immediately to WPS GmbH or the speakers and ensure that the participant is not depicted.
5.5 WPS GmbH informs its participants at irregular intervals about offers from WPS GmbH, in particular about events and functions and related offers, also by email. The participant hereby declares his/her consent. This consent can be revoked informally at any time.
5.6 WPS GmbH processes the participant's data required for business transactions in compliance with data protection regulations; reference is made to the general data protection declaration of WPS GmbH (https://www.wps.de/datenschutz/).

6 Place of performance, place of jurisdiction, formal requirements

6.1 Unless otherwise agreed, the place of performance and fulfilment and the place of implementation of events and functions is the registered office of WPS GmbH.
6.2 The law of the Federal Republic of Germany shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from and in connection with the underlying contractual relationship is the registered office of WPS GmbH in Hamburg.
